PAXTON INTERNATIONAL RESOURCES LTD. - Extension of Investor Relations Agreement with IRG Services Ltd.

The Company wishes to announce that its investor relations agreement with IRG Services Ltd., whereby Kelly Fielder provides investor relations services to the Company, has expired. The Company and IRG have both agreed to extend the investor relations agreement for a period of one year, until March 1, 2000.

Pursuant to the agreement, the Company will pay IRG $5,000 per month, effective immediately, which funds will be paid from the Company's current working capital.
