PAXTON PACIFIC RESOURCE PRODUCTS - Consolidation and Name Change

The Company wishes to announce that it received shareholder acceptance for a consolidation of its common shares, and subsequent name change, at its 1998 Annual General Meeting.

Accordingly, subject to regulatory acceptance, the company proposes to consolidate its common shares on a three (3) old common shares for one (1) new common share basis, and to change the name of the Company to Paxton International Resources Ltd.
